Corporate Lawyer

Job Overview

CoTrain is seeking an experienced Corporate Lawyer for an client with a high growth trajectory and an established enterprise operations team.

The Corporate Lawyer will be responsible for providing legal guidance across corporate operations contracts regulatory matters and business transactions. This role focuses on protecting company interests ensuring compliance and supporting strategic business decisions as the company continues to scale.

Responsibilities

• Provide legal counsel on corporate governance contracts and business operations

• Draft review and negotiate commercial agreements including vendor contracts partnership agreements and service agreements

• Ensure compliance with applicable corporate regulatory and business laws

• Support corporate structuring entity formation and internal legal processes

• Identify legal risks and provide recommendations to leadership

• Collaborate with executive teams on strategic initiatives and transactions

• Assist with dispute resolution risk mitigation and legal documentation

• Maintain organized legal records documentation and internal policies

Qualifications

• 3+ years of professional corporate law experience

• Active license to practice law in at least one jurisdiction

• Experience drafting reviewing and negotiating commercial agreements

• Strong analytical problem solving and communication skills

Preferred Not Required

• Experience working with ecommerce consumer product or technology companies

• Familiarity with corporate structuring venture transactions or startup legal operations

• Experience advising high growth companies

Compensation

Estimated Hourly Rate: $120–$300 per hour

Estimated Annual Equivalent: $200000–$500000+ per year based on full time contract workload

Final compensation and project terms are confirmed prior to engagement.
